TiE SoCal team is excited to invite local startup founders and entrepreneurs to our exclusive event on May 17, 2017 at the Real Office Centers in Irvine, Orange County. If you are looking for an outside angel investor or venture capitalist for your company, you must first know how to properly structure your company, and understand these terms: Cap-Table, Common vs. Preferred Stocks, Convertible Notes, Preferred to Common Conversion Multiple, Valuation, Valuation Risks, and Term-sheets. If you have done your homework, and have scoped out answers to all the possible investor questions, you are on your way to getting a superior valuation (who doesn’t want that). However, if you are unaware of the aforementioned terms, and stumble out of the gate, well, the VC might just think you are not ready or slap you with a lower valuation. Why take chances? Meet Our Awesome Panelists

Rajiv Kumar was Founder/CEO of RockeTalk funded by Mission Ventures. He was also the founder & CTO of a bluetooth technology company Widcomm which was acquired by Broadcom. Rajiv was a key figure in guiding the strategic vision of the company. He was also responsible for all things technical ranging from infrastructure, operations, product and of course the innovations critical to sustained growth. At Uniden, Rajiv was responsible for the development of the advanced wireless data product line that included GPRS modems, CDPD and 2-way pagers. Rajiv was also an engineering leader at Hughes Network Systems. During his stay at Hughes Network Systems, Rajiv was one of the primary inventors of CDPD technology that was the first ever cellular wireless data deployed. Rajiv holds several patents and has published textbooks in the wireless data area. Rajiv holds a BS and MS from Indian Institute of Technology.

Azad Virk is a shareholder in Stradling’s Corporate and Technology Transactions practice groups.  Azad’s practice focuses on a variety of corporate, commercial and intellectual property transactions, including the formation of startups, equity and debt financings, mergers and acquisitions, joint ventures, strategic alliances, intellectual property and technology transactions across multiple industries. Azad went to Stanford Law School and University of London.

Brinda Gandhi has been an attorney with Chugh, LLP since 2011. Prior to 2011, Ms. Gandhi worked with Citibank as in house legal counsel in Mumbai, India. Ms. Gandhi’s practice focuses primarily on corporate law, litigation & family law. She has advised high net worth companies in aspects of business law, contract law & compliance issues. She has successfully litigated many civil cases. Ms. Gandhi also handles cross-border issues at the firm due to her international experience. Ms. Gandhi is on the Advisory Board of Sahara Foundation & is also part of the Executive Committee of the Business & Corporate law section in the Orange County Bar Association.

Addison K. Adams, Esq. is the “money and deal” lawyer – a transactional corporate and securities attorney.  Formerly an equity partner with Richardson & Patel LLP, a national securities boutique firm, Mr. Adams started his own law firm, Adams Corporate Law, Inc., two years ago.  With experience spanning over two decades from the internet “.com” bubble through the micro-cap penny stock years that followed and the post-JOBS Act crowdfunding environment of today, Mr. Adams has a breadth of securities and growth capital legal experience he applies to every deal he advises on.  Transaction types include private placements for both accredited and non-accredited investors, investments by institutional investors (venture capital and QIBs), strategic investors, and co-founding partners, crowdfunding and online funding portals, off shore offerings, public company “PIPE” financings (hedge funds), registered offerings, reverse mergers, business sales, and IPO’s.  Mr. Adams advises from start up through exit helping the founders and investors navigate the choppy waters of corporate deal making.
